Partner Agreement

This Partner Agreement (“Terms”) govern participation in the Medical Billing Partner Network operated by Ardent Practice Partners

By submitting payment information and receiving leads, you (“Partner”) agree to these Terms.

1. What We Provide

We provide introductions in the form of private practices that have requested to be contacted by medical billing companies.

We do not guarantee that any lead will become a client.

You are purchasing introductions, not clients or guaranteed business.

2. Definition of a Lead

A Lead is a private practice that has voluntarily submitted their information requesting to speak with a medical billing company.

A Lead includes contact information and practice details submitted through our platform.

Leads are generated through advertising, search marketing, referrals, and other marketing methods.

3. Exclusive vs Shared Leads

Exclusive Lead — sent only to you.

Shared Lead — sent to a limited number of partners (no more than five).

Lead type is determined with account creation and can be modified anytime through email.

4. Payment Authorization

You authorize us to charge your payment method on file every two (2) weeks for leads delivered to you during that period at the following rates:

Shared:

1 Provider (Solo Practice): $105

2-3 Providers: $135

4-6 Providers: $165

7+ Providers: $195

Exclusive:

1 Provider (Solo Practice): $450

2-3 Providers: $575

4-6 Providers: $700

7+ Providers: $825

There are no subscriptions, minimum commitments, or long-term contracts.

All charges are final, subject to the credit policy below.

5. Lead Delivery

Leads are considered delivered when sent to the email address you provided during signup.

We are not responsible for delivery failures caused by spam filters, email issues, carrier filtering, CRM misconfiguration, or technical problems on your end.

It is your responsibility to ensure you can receive and process leads via email

6. Lead Credit / Replacement Policy

Partners have ten (10) days from the date a lead is delivered to request a credit or replacement.

Requests must be submitted by emailing [email protected].

To qualify for a credit or replacement, your account must be in good standing and not attempting to avoid valid charges.

Each credit request must include:

A. The email address submitting the request

.B. ONE of the following:

 • Lead email address, OR

 • Lead company name

C. The reason for the request

D. The specific grounds, based on these Terms, for why the lead qualifies for credit

Credits or replacements may be issued for the following reasons:

A. The practice denies having submitted a request for billing services (verified by us)

B. The practice states the request was submitted in error (verified by us)

C. The lead was sent more than three (3) business days after the practice submitted their request

D. The contact provided is not a decision-maker or decision-influencer

E. The lead was delivered to more partners than allowed

F. The phone number or email is invalid and cannot be corrected within 24 hours

G. The lead is a duplicate sent within the previous 30 days

H. The lead is fictitious, spam, offensive, a competitor, or a minor

I. The lead is missing critical information that cannot be corrected within 24 hours

J. The practice is requesting a different service than medical billing

L. You are unable to establish contact after at least 20 documented contact attempts (calls, emails, voicemails, SMS) recorded in a CRM or log

Leads will NOT be credited for reasons including, but not limited to:

A. The practice has light or casual interest

B. The practice lacks sufficient budget

C. Failure to reach the practice without 20 documented attempts

D. The practice is under contract with another provider

E. The practice chooses another billing company

F. The practice was already known to you or in your pipeline

G. The practice is an existing client

Approved credits apply to future leads only. No cash refunds will be issued.

We reserve the right to approve or deny credit requests.

7. Proper Use of Leads

Leads are for your company’s use only to offer medical billing services.

You may not resell, share, or misuse lead information.

8. No Exclusivity

Participation in the network does not grant territorial, specialty, or market exclusivity.

We may onboard multiple partners serving the same states or specialties.

9. No Guarantee of Results

We do not guarantee response rates, close rates, or revenue from any lead.

10. Limitation of Liability

Our total liability for any claim is limited to the amount paid for the specific lead in question.

11. Indemnification

You agree to indemnify and hold Ardent Practice Partners harmless from any claims, damages, or liabilities arising from your contact with or services provided to any lead.

12. Confidentiality

You agree not to copy, replicate, or disclose how leads are generated or how the network operates.

13. Removal from Network

We reserve the right to suspend or remove any partner who abuses the credit system, misuses leads, or acts unprofessionally.

14. Cancellation

You may stop receiving leads at any time by emailing [email protected].

Cancellation takes effect at the end of the current billing period. Any leads delivered prior to cancellation remain billable.

Removal of your payment method without written notice does not constitute cancellation.

We reserve the right to remove any partner at our discretion.

15. Governing Law

These Terms are governed by the laws of the State of California.

16. Updates to These Terms

We may update these Terms at any time. Continued participation in the network constitutes acceptance of any updates.
